Sounds like he might get away with it unless there is something else they have. He didn't sell his stock so he didn't profit from the information. For insider trading to happen he would have to profit.
His son might be fucked though.

Tipping alone doesn't cut it at least not in criminal court because there has to be intent to profit.

What does count (and I missed it) is this.

"In addition, an insider who is aware of material, nonpublic information must not disclose such information to family, friends, business or social acquaintances, employees or independent contractors of the entity "

His charges will be different than the charges his son and the sons future father in law will face but are covered under the same law.

Also because he was a major stock holder and on the board he faces other charges beyond insider trading.

They're allowed to use what they learn as part of their job in Congress. Apparently they can't just abuse any insider knowledge they hold, just congressionally obtained knowledge.
